Terms & Conditions
Last Updated: September 19, 2026
Welcome to Baan Paa. These Terms and Conditions (“Terms”) constitute a legally binding agreement between Baanpaa LLC-FZ (“Baan Paa”, “we”, “us”, or “our”), registered in the Meydan Free Zone, Dubai, United Arab Emirates, and you (“Client”, “Customer”, or “User”), governing your access to and use of baanpaa.com (the “Site”) and all associated design services, balcony transformations, landscaping installations, and retail merchandise (collectively, the “Services”).
By visiting our Site, requesting a quote, booking a project, or purchasing goods, you agree to comply with and be bound by these Terms.
1. Scope of Services
Baan Paa operates two primary commercial channels:
- Balcony Transformations & Garden Design: Bespoke concept design, container sourcing, plant selection, irrigation setup, soil preparation, and physical installation for residential and commercial outdoor spaces.
- Retail & Lifestyle Merchandise: Direct-to-consumer e-commerce, pop-up market sales, and drop-ship fulfillment covering branded literary works, character toys, garden lifestyle accessories, and curated outdoor artwork.
2. Balcony Transformations & Installation Projects
A. Quotations, Scopes of Work, and Contract Formation
- All formal project quotations remain valid for 14 calendar days from issuance, after which pricing and plant availability are subject to market adjustments.
- A binding service contract is formed only upon our receipt of your signed agreement (or written digital confirmation) and the required initial deposit.
B. Deposit and Payment Flexibility
- Variable Payment Structures: Payment milestones and deposit percentages are determined at our sole discretion based on the overall financial scale, complexity, structural requirements, and procurement demands of each project.
- Standard Projects: Typically require an initial 50% mobilization deposit upon booking, with the remaining balance due immediately upon practical completion.
- Custom, Large-Scale, or High-Procurement Projects: For projects requiring specialized structural fabrication, imported materials, bespoke planters, water features, or rare flora, Baan Paa reserves the explicit right to require a higher initial deposit (up to 70% to 100%) or phased milestone progress payments prior to installation.
- Work will not commence, and project materials will not be dispatched to the site, until the agreed deposit cleared funds are received in full.
C. Building Approvals, Permits, and Access
- Community & Developer NOCs: The Client is exclusively responsible for obtaining all required permissions, No Objection Certificates (NOCs), and entry passes from building management, homeowners’ associations (HOAs), master developers (e.g., Emaar, Nakheel, EDACOM), or local municipal authorities, unless explicitly contracted as a chargeable service by Baan Paa.
- Site Readiness: The Client must ensure uninterrupted access to the premises, working service elevators, electricity, and an operational water source during the scheduled installation window. Delays caused by security clearance denials or site access restrictions may incur reasonable rescheduling fees.
3. Living Flora and Visual Representation Disclaimer
- Natural Biological Variations: Plants, shrubs, and trees are living biological specimens. Photographs, renders, 3D mockups, and catalog images provided in proposals or on our Site serve as visual benchmarks for variety, form, and mature aesthetic. Actual delivered flora will naturally vary in branch architecture, height, leaf density, variegation, stem thickness, and seasonal blooming status.
- Commitment to Quality: Baan Paa undertakes to source the healthiest nursery stock available and endeavor to match the approved visual proposal as closely as commercially and seasonally feasible. Where a specific plant species becomes unavailable due to seasonal limitations or market shortage, we reserve the right to substitute an equivalent botanical variety of equal or superior aesthetic and financial value, notifying you prior to final installation.
- Post-Handover Plant Care & Warranty: Because the continued survival of living plants depends entirely on environmental conditions outside our operational control (including ambient sunlight, exposure to Dubai summer heat, air conditioning exhaust, correct watering schedules, and drainage management), Baan Paa provides no ongoing warranty on living plants once practical handover is signed off, unless an ongoing maintenance package has been formally contracted in writing. We will provide thorough baseline care instructions upon project completion.
4. Retail Products, Orders, and Deliveries
- Product Descriptions & Accuracy: We make every effort to display product dimensions, colors, and textures (such as plush toys, storybooks, stone finishes, and pins) accurately. However, variations in digital displays and manufacturing dye lots may cause slight cosmetic deviations.
- Fulfillment & Couriers: Standard physical products are dispatched across the UAE via third-party courier services. Stated delivery windows are commercial estimates and not guaranteed delivery deadlines. Risk of loss and title transfer to you upon physical delivery to the designated shipping address.
- Curated Partner Artwork (Drop-Ship / Cross-Border): For specialized outdoor wall art or third-party items fulfilled via our international partners (e.g., YardArt UK), orders are processed under standard cross-border distribution terms. Baan Paa handles applicable local customs and courier logistics unless explicitly agreed otherwise at checkout.
5. Cancellations, Returns, and Refunds
A. Bespoke Balcony Projects
- Once a deposit is paid and procurement has begun (plants selected, custom planters ordered, or soil blended), deposits are non-refundable to the extent required to cover costs incurred by Baan Paa.
- If a project is cancelled by the Client after on-site installation has started, the Client remains liable for all completed labor and procured materials up to the cancellation date.
B. Retail Merchandise
- Unused, unopened retail merchandise (e.g., books, pins, packaged plush toys) in its original packaging may be returned within 7 calendar days of receipt for an exchange or store credit, provided proof of purchase is presented. Return shipping costs are the responsibility of the Customer.
- Due to their natural and individual nature, loose hand-selected stones (Pebble-Pok) and opened sensory toys are final sale unless damaged upon arrival.
6. Intellectual Property Rights
- All intellectual property appearing on the Site and across our product range—including the registered names, logos, illustrations, character designs (Chang Chokdee, Mr. Kop-Kop, Pebble-Pok), story manuscripts, photography, and balcony landscape concept layouts—remains the exclusive property of Baanpaa LLC-FZ.
- No design concepts, brand assets, or custom landscaping layouts prepared by Baan Paa may be copied, shared with competing contractors, or exploited commercially without our prior written authorization.
7. Balcony Structural Integrity and Limitation of Liability
- Structural Load & Drainage: The Client is responsible for ensuring their balcony or terrace complies with building weight tolerances. While Baan Paa utilizes lightweight potting media and professional container gardening practices, we accept no liability for pre-existing structural defects, floor waterproofing failures, building facade restrictions, or municipal fines arising from unauthorized client alterations.
- General Limitation: To the maximum extent permitted by UAE law, Baan Paa’s aggregate commercial liability for any claim arising out of our products, advice, or services—whether in contract, tort (including negligence), or otherwise—shall not exceed the total fees paid by the Client to Baan Paa for the specific project or retail order giving rise to the dispute. Under no circumstances will we be liable for indirect, incidental, or consequential damages.
8. Indemnification
You agree to indemnify, defend, and hold harmless Baanpaa LLC-FZ, its owners, directors, employees, and subcontractors from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your breach of these Terms, failure to secure building/HOA approvals, or violation of any law or third-party property rights.
9. Force Majeure
Neither party shall be held liable for failure or delay in performing contractual obligations if such failure arises from circumstances beyond reasonable control, including extreme meteorological conditions (e.g., sandstorms, torrential rains, flash floods), severe government-mandated heat restrictions during summer hours, municipal transport halts, global supply chain blockages, port delays, or acts of state.
10. Amendments and Updates
We reserve the right to modify these Terms at our discretion. Any revisions will be published on the Site with an updated "Last Updated" timestamp. Continued engagement with our Services following the publication of revised Terms signifies your acceptance of the updated conditions.
11. Governing Law and Dispute Resolution
These Terms and any contractual agreements between Baanpaa LLC-FZ and the Client shall be governed by, and construed in accordance with, the federal laws of the United Arab Emirates and the applicable local regulations of the Emirate of Dubai. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent Courts of Dubai.
